1. Introduction
Welcome to Snapstay. These Terms of Use (“Terms”) constitute a legally binding agreement between Snapstay OÜ, a company registered in Estonia (“Company,” “we,” “us,” or “our”), and you (“User,” “Client,” or “you”) regarding your access to and use of the Snapstay website, booking engine, channel manager, and insight services (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
2. Eligibility & Business Use
Our Services are designed for commercial use by hotels, property managers, and accommodation providers (“B2B”). By using Snapstay, you represent and warrant that:
- You have the legal authority to bind the business entity (e.g., the Hotel) on whose behalf you are accepting these Terms.
- You are at least 18 years of age or of legal age to form a binding contract in your jurisdiction.
3. Account Registration & Security
- Account Creation: To access the Services, you must register for an account. You agree to provide accurate, current, and complete information.
- Security: You are responsible for maintaining the confidentiality of your login credentials. You are fully responsible for all activities that occur under your account.
- Notification: You must notify us immediately of any unauthorized use of your account or any other breach of security.
4. Subscriptions, Fees, and Refunds
- Fees: Access to Snapstay is subscription-based. You agree to pay the fees associated with your selected subscription plan.
- 30-Day Money-Back Guarantee: We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied with the Services, you may request a full refund within thirty (30) calendar days of your initial payment.
- Cancellations: After the initial 30-day period, you may cancel your subscription at any time; however, no refunds will be issued for the remaining billing period.
5. Intellectual Property Rights
A. Our Intellectual Property
Snapstay OÜ retains all ownership, right, title, and interest in and to the Services, including but not limited to our software code, booking engine algorithms, visual design, logos, and “insights” data models. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business operations.
B. User Content (Hotel Images & Data)
You retain ownership of the text, files, images (e.g., photos of hotel rooms), and other data that you upload to the Services (“User Content”).
By uploading User Content, you grant Snapstay OÜ a worldwide, royalty-free license to use, reproduce, display, and distribute your User Content solely for the purpose of providing the Services (e.g., displaying your room photos on the booking engine to potential guests).
You represent and warrant that:
- You own or have the necessary licenses to use the images you upload.
- Your content does not infringe on the copyright or privacy rights of any third party.
6. Acceptable Use
You agree not to misuse the Services. Specifically, you must not:
- Use the Services for any unlawful purpose.
- Attempt to reverse engineer, decompile, or hack the Snapstay platform.
- Overload our infrastructure or introduce viruses, worms, or harmful code.
- Harass, abuse, or threaten other users or Snapstay staff.
7. Termination
- Termination by You: You may stop using the Services at any time.
- Termination by Us: We reserve the right to suspend or terminate your access to the Services immediately, without prior notice or liability, if:
- You breach these Terms (including non-payment of fees).
- You engage in abusive behavior towards our staff or platform.
- We are required to do so by law.
8. Disclaimers & Limitation of Liability
The Services are provided on an “AS IS” and “AS AVAILABLE” basis.
- No Warranty: While we strive for high uptime, we do not warrant that the booking engine or channel manager will be uninterrupted, error-free, or free of synchronization delays.
- Limitation of Liability: To the fullest extent permitted by Estonian law, Snapstay OÜ shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of data, or double-bookings resulting from the use of the channel manager.
- Cap on Liability: Our total liability for any claims arising out of these Terms shall be limited to the amount you paid us in the last twelve (12) months.
9. Data Protection (GDPR)
As an Estonian company, we are committed to the General Data Protection Regulation (GDPR).
- Controller vs. Processor: Regarding the personal data of your guests (names, booking details), You are the Data Controller, and Snapstay OÜ is the Data Processor.
- By using our Services, you agree to our Privacy Policy and Data Processing Agreement (DPA), which governs how we handle guest data on your behalf.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia. Any disputes arising out of or regarding these Terms shall be subject to the exclusive jurisdiction of the courts located in Tallinn, Estonia.
